1. Agreement to Terms

Welcome to Cloud Rescue Foundation. These Terms of Service ("Terms") govern your access to and use of our website (cloudrescuefoundation.org), mobile application, and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our Services.

Important: These Terms contain a binding arbitration clause and class action waiver that affect your legal rights. Please read them carefully.

2. About Cloud Rescue Foundation

Cloud Rescue Foundation is a nonprofit organization that connects compassionate individuals worldwide with rescue dogs in China through innovative "cloud sponsorship" technology. Our platform enables:

• Remote sponsorship of rescue dogs through weekly or multi-week donations
• Direct communication with verified animal shelters
• Weekly video updates on sponsored dogs' well-being
• Transparent tracking of donation impact

3. Eligibility

To use our Services, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Provide accurate and complete registration information
• Not be prohibited from using the Services under applicable law
• Not have been previously suspended or banned from our Services

By creating an account, you represent and warrant that you meet these eligibility requirements.

4. User Accounts

4.1 Account Creation

To use certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. We are not liable for any loss or damage arising from your failure to protect your account information.

4.3 Account Termination

You may terminate your account at any time by contacting us. We may suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent or illegal activities
• Abuse or harass shelter staff or other users
• Provide false or misleading information

5. Cloud Sponsorship Services

5.1 How Cloud Sponsorship Works

Cloud Sponsorship allows you to remotely sponsor rescue dogs through manual weekly donations (not a subscription service):

• Random Dog: $9.90/week (matched with a dog in need)
• Specific Dog: $59.99 for 5 weeks (choose your dog)
• Size-Based: Small dogs $9.99/week, Medium $15.99/week, Large $20.99/week
• Renewal: Flexible 1-20 weeks at your dog's size rate
• Donations support food, medical care, and shelter operations

5.2 Donations and Payments

All donations are voluntary and non-refundable unless required by law. By making a donation:

• You make payments manually each week to continue your sponsorship
• You understand donations go directly to shelter operations
• You acknowledge Cloud Rescue Foundation retains a small administrative fee to maintain platform operations
• You agree to provide valid payment information

5.3 Video Updates

Shelters are required to provide weekly video updates of sponsored dogs. If a shelter fails to provide updates for two consecutive weeks, the dog becomes ineligible for cloud sponsorship until updates resume. We will notify you and offer to reassign your sponsorship.

6. Shelter Verification and Standards

All shelters on our platform undergo manual verification by our customer service team. However:

• We do not guarantee the accuracy of all shelter-provided information
• Shelters are independent entities, not employees or agents of Cloud Rescue Foundation
• We are not liable for shelter actions or the care provided to dogs
• We reserve the right to remove shelters that violate our standards

7. User Conduct and Prohibited Activities

You agree not to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit viruses, malware, or harmful code
• Engage in fraudulent activities or payment disputes in bad faith
• Harass, abuse, or threaten shelter staff or other users
• Impersonate others or misrepresent your affiliation
• Scrape, crawl, or reverse engineer our Services
• Interfere with or disrupt our Services
• Use our Services for unauthorized commercial purposes
• Share inappropriate, offensive, or harmful content

8. Intellectual Property Rights

8.1 Our Content

All content, features, and functionality of our Services (including text, graphics, logos, icons, images, videos, software, and design) are owned by Cloud Rescue Foundation or our licensors and are protected by copyright, trademark, and other intellectual property laws.

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use our Services for personal, non-commercial purposes. You may not:

• Copy, modify, or create derivative works
• Distribute, sell, or sublicense our content
• Remove copyright or proprietary notices

8.3 User Content

You retain ownership of content you submit (messages, photos). By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content as necessary to provide our Services.

9. Third-Party Services and Links

Our Services may contain links to third-party websites or integrate with third-party services:

• Payment Processors: Stripe, WeChat Pay, Alipay
• App Stores: Apple App Store, Google Play Store
• Social Media: Links to our social media profiles

We are not responsible for the content, privacy practices, or terms of service of third-party services. Your use of third-party services is subject to their terms and policies.

10. Disclaimers and Limitations of Liability

10.1 "As Is" and "As Available" Basis

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

• Merchantability or fitness for a particular purpose
• Accuracy, reliability, or completeness of information
• Uninterrupted or error-free operation
• Security or freedom from viruses

10.2 Limitation of Liability

To the maximum extent permitted by law, Cloud Rescue Foundation and its officers, directors, employees, and agents shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Actions or omissions of shelters or third parties
• Unauthorized access to your account or data
• Technical failures or service interruptions

Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim.

10.3 No Guarantee of Results

We do not guarantee that donations will result in specific outcomes for dogs, such as sponsorship or improved health. We facilitate connections between donors and shelters but do not control shelter operations.

11. Indemnification

You agree to indemnify, defend, and hold harmless Cloud Rescue Foundation and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

• Your use or misuse of our Services
• Your violation of these Terms
• Your violation of any rights of third parties
• Your content or communications

12. Dispute Resolution and Arbitration

12.1 Informal Resolution

Before filing a claim, you agree to contact us at admin@cloudrescuefoundation.org to attempt to resolve the dispute informally.

12.2 Binding Arbitration

If informal resolution fails, you agree that any dispute will be resolved through binding arbitration rather than in court, except for:

• Small claims court matters (if eligible)
• Intellectual property disputes
• Injunctive or equitable relief

Arbitration will be conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

12.3 Class Action Waiver

You agree to resolve disputes on an individual basis only. You waive any right to participate in class actions, class arbitrations, or representative proceedings.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of the United States and the State of [Your State], without regard to conflict of law principles. Any disputes not subject to arbitration shall be resolved exclusively in the courts located in [Your County/State].

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Cloud Rescue Foundation regarding our Services.

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

16.3 Waiver

Our failure to enforce any provision does not constitute a waiver of that provision or any other provision.

16.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.

16.5 Force Majeure

We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control.
